Public Offer Agreement

Sales Terms and Conditions

(Terms for the Supply of Products)

Last Updated: October 20, 2026

1. General Provisions

These Sales Terms and Conditions (“Terms”) apply to the supply of products by Suzhou Macxi Fluid Technology Co., Ltd. (“MACXI,” the “Seller,” “we,” “us,” or “our”) to the purchasing customer (“Buyer”).

MACXI supplies industrial pumps and related products, including magnetic gear pumps, precision plunger pumps, pump head and motor assemblies, and customized fluid handling solutions.

These Terms should be read together with the applicable quotation, order confirmation, sales contract, Payment Terms, Shipping Policy, Refund and Return Policy, and Warranty Policy.

Unless expressly stated otherwise, information published on the website is provided for general informational purposes and does not constitute a binding offer to sell or a final quotation.

The applicable transaction documents and these Terms will govern the relevant order, subject to mandatory legal requirements.

Nothing in these Terms excludes or restricts any rights, remedies, or liabilities that cannot lawfully be excluded or restricted under applicable law.

2. Subject of the Agreement

MACXI supplies industrial pump products and related components, and the Buyer agrees to purchase, accept, and pay for the products in accordance with the applicable confirmed order and sales agreement.

Depending on the project, the transaction may include standard products, customized products, pump and motor assemblies, control systems, or other agreed fluid handling solutions.

The specific products, quantities, technical specifications, prices, payment conditions, delivery arrangements, and other commercial terms will be set out in the applicable quotation, order confirmation, invoice, or written sales contract.

3. Product Characteristics and Technical Specifications

Products supplied by MACXI may be standard products or products manufactured or configured according to the Buyer's specific requirements.

Customized products may be based on:

  • The Buyer's technical specifications, drawings, or approved documentation.
  • Agreed flow rate, outlet pressure, viscosity, and operating temperature.
  • Required materials, seals, motor configurations, and electrical specifications.
  • Project-specific dimensions, connections, or other technical requirements.

The final product characteristics will be determined by the technical specifications and commercial documents expressly approved or confirmed by the parties.

Before confirming an order, the Buyer should review the relevant technical parameters and ensure that the information supplied to MACXI accurately reflects the intended application.

MACXI will evaluate product suitability based on the information provided and the specifications agreed upon by the parties.

The customized nature of a product may affect its cancellation and voluntary return eligibility. However, customization does not automatically exclude remedies for defects, non-conformity, or other matters for which MACXI is responsible under the applicable sales agreement or mandatory law.

4. Order Placement and Acceptance

The Buyer may submit an inquiry or order request through the website, by email, or through another communication channel accepted by MACXI.

Submitting an inquiry, requesting a quotation, or sending a purchase order does not, by itself, mean that MACXI has accepted the order.

Unless otherwise agreed in writing, an order is considered accepted when MACXI provides written confirmation of acceptance or otherwise confirms the transaction in accordance with the applicable sales agreement.

Before production begins, the parties should confirm the relevant technical specifications, product configuration, quantity, price, payment terms, and estimated production or delivery schedule.

MACXI may decline a proposed order before acceptance where permitted by applicable law, including where the requested specifications cannot be met, the transaction cannot lawfully be performed, or the parties cannot agree on essential commercial terms.

Any right to cancel or suspend an already accepted order will be governed by the applicable sales agreement and mandatory law.

5. Prices and Payment

Website prices, where displayed, are indicative unless expressly identified as binding.

The final price will be specified in the applicable quotation, pro forma invoice, order confirmation, or sales contract.

Unless otherwise agreed in writing, 100% advance payment is required before production or order fulfillment begins.

Production of made-to-order products will generally commence after:

  • The order has been confirmed by MACXI.
  • The relevant technical specifications have been agreed upon.
  • The required payment has been received in MACXI's designated bank account.

Any alternative payment arrangement must be expressly confirmed in writing.

Payment currency, accepted payment methods, bank charges, payment deadlines, and other payment conditions are governed by the applicable invoice, sales agreement, and Payment Terms.

6. Returns, Refunds, and Product Quality

6.1 Prior Contact and Return Authorization

The Buyer must contact MACXI before returning any product and obtain written return authorization and instructions before shipping it back.

To request a return, repair, replacement, or refund, the Buyer should provide:

  • Order or invoice number.
  • Product model.
  • Reason for the request.
  • Photographs, videos, or other supporting documentation, where applicable.

Requests may be sent to either:

The Buyer should not send products to an address that has not been confirmed by MACXI for the relevant return.

This procedure does not remove or delay any mandatory rights or remedies that cannot lawfully be restricted.

6.2 Returns of Products in Good Condition

For eligible standard, non-customized products, voluntary return requests for reasons unrelated to defects or non-conformity may generally be submitted within 7 calendar days of delivery, subject to the Refund and Return Policy, the applicable sales agreement, and mandatory law.

Products eligible for voluntary return should generally:

  • Be unused and not installed or operated.
  • Remain in their original condition.
  • Include the original packaging, components, and accessories.
  • Show no signs of damage, unauthorized modification, or misuse.

All such returns require prior written authorization from MACXI.

The 7-day period is a voluntary return arrangement for eligible products and does not replace or restrict any longer return period or other mandatory rights applicable under local law.

6.3 Customized Products and Return Restrictions

Voluntary returns for reasons unrelated to defects or non-conformity may not be accepted for products that are:

  • Manufactured specifically to the Buyer's order.
  • Produced according to the Buyer's drawings or technical specifications.
  • Configured with unique materials, dimensions, connections, motor options, or other project-specific characteristics.
  • Specially manufactured for a particular application and not ordinarily available for resale in the same configuration.

Products that have been used, installed, modified, or damaged may also be ineligible for voluntary return, depending on the circumstances and applicable law.

These restrictions do not automatically eliminate remedies for defective or non-conforming products or any other rights that cannot lawfully be excluded.

6.4 Defective or Non-Conforming Products

If a product is found to have a covered defect or to differ from the specifications agreed upon by the parties, the Buyer should notify MACXI as soon as reasonably practicable.

Depending on the circumstances, the applicable sales agreement, and mandatory law, available remedies may include repair, replacement, an appropriate price adjustment, or a refund.

MACXI may request reasonable technical information, photographs, inspection records, or examination of the product to assess the reported issue.

6.5 Return Shipping Costs

Return shipping costs will be allocated according to the reason for the return, the applicable sales agreement, and mandatory law.

  • For eligible voluntary returns unrelated to defects or non-conformity, the Buyer generally bears return shipping costs unless otherwise agreed or required by law.
  • For confirmed defects or non-conformity for which MACXI is responsible, MACXI will generally arrange or bear reasonable return shipping costs, subject to the applicable agreement and law.
  • Other cases will be handled according to the circumstances and applicable contractual and legal requirements.

Additional details are provided in MACXI's Refund and Return Policy and Warranty Policy.

7. Order Cancellation and Production Costs

The Buyer should contact MACXI as soon as possible if it wishes to cancel or modify an order.

Cancellation of an accepted order requires written agreement where specified by the applicable sales contract, subject to mandatory legal requirements.

For customized or made-to-order products, cancellation may be restricted after materials have been procured, production preparation has begun, or manufacturing is underway.

Where cancellation is permitted, MACXI may recover actual, reasonable, and properly documented costs attributable to the order to the extent permitted by the applicable sales agreement and law. Such costs may include:

  • Materials purchased specifically for the order.
  • Manufacturing and processing costs already incurred.
  • Production preparation and setup costs.
  • Customized components or outsourced work that cannot reasonably be canceled or recovered.
  • Other recoverable costs expressly agreed upon by the parties or permitted by applicable law.

Any remaining refundable balance will be calculated after accounting for amounts properly payable under the applicable agreement and law.

MACXI will not automatically retain the entire payment solely because production has started. If properly recoverable costs equal or exceed the amount paid, the refund amount may be zero, but only where this outcome is consistent with the applicable agreement and mandatory law.

Any cancellation, deduction, or refund will be handled in accordance with the Payment Terms, Refund and Return Policy, and applicable legal requirements.

8. Delivery and Transfer of Risk

Shipping methods, estimated production and delivery schedules, shipping costs, customs responsibilities, and other delivery arrangements will be agreed upon individually and confirmed in the applicable order documents.

Delivery estimates are indicative unless a binding delivery date has been expressly agreed in writing.

The allocation of responsibility for shipping, export and import clearance, duties, taxes, and transportation risk will be determined by the agreed delivery terms.

Where the sales contract specifies an Incoterms® rule, the applicable rule and named place or port will govern the allocation of delivery obligations and risk, subject to the contract and mandatory law.

If no Incoterms® rule or alternative delivery arrangement has been agreed upon, the relevant sales agreement and applicable law will determine the transfer of risk.

The transfer of risk, delivery of the products, and transfer of ownership are distinct matters.

Further information is provided in MACXI's Shipping Policy.

9. Responsibilities and Liability

The Buyer is responsible for providing accurate technical requirements, reviewing the agreed specifications, and ensuring that the intended application and operating conditions have been properly communicated to MACXI.

MACXI is not responsible for a product's failure to meet requirements that were not disclosed, were inaccurately specified by the Buyer, or fall outside the specifications agreed upon by the parties, to the extent permitted by applicable law.

The Buyer should operate, install, and maintain the products in accordance with the applicable instructions and agreed operating conditions.

To the extent permitted by applicable law, MACXI will not be liable for indirect, incidental, special, or consequential losses, including lost profits or equipment downtime, where such liability may lawfully be excluded or limited.

Nothing in these Terms excludes or limits responsibility for manufacturing defects, non-conformity with expressly agreed specifications, or other matters for which MACXI is responsible under the applicable sales agreement or mandatory law.

Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, intentional misconduct, death or personal injury where liability cannot lawfully be excluded, breach of non-excludable statutory obligations, or any other liability that cannot legally be excluded or limited.

10. Force Majeure

Neither party will be liable for a delay or failure to perform an affected obligation to the extent caused by an event beyond its reasonable control that qualifies as force majeure under the applicable sales agreement or law.

Such events may include:

  • Natural disasters and severe weather events.
  • War, armed conflict, or public emergencies.
  • Government restrictions, export controls, or import prohibitions.
  • Epidemics or other significant public health emergencies.
  • Major transportation or logistics disruptions.
  • Other events that satisfy the applicable legal or contractual requirements for force majeure.

The affected party should notify the other party within a reasonable period after becoming aware of the event and make reasonable efforts to mitigate its effects.

The consequences of a force majeure event, including any adjustment to delivery schedules, suspension of performance, or right to terminate the affected order, will be determined by the applicable sales agreement and mandatory law.

Ordinary logistical delays or increased costs do not automatically constitute force majeure.

11. Governing Law and Dispute Resolution

The governing law and dispute resolution arrangements for a transaction will be determined by the applicable written sales contract and relevant mandatory legal requirements.

Where the parties have expressly agreed on governing law, jurisdiction, or dispute resolution provisions, those provisions will apply to the extent legally valid and enforceable.

If no such agreement exists, the applicable conflict-of-law rules and other relevant legal requirements will determine the governing law and competent forum.

Nothing in these Terms is intended to deprive a Buyer or other protected party of rights that cannot lawfully be excluded under applicable law.

13. Final Provisions

MACXI may update these Terms from time to time to reflect changes in products, business practices, or applicable legal requirements.

The latest version will be published on the website with the applicable revision date.

Unless otherwise required by law or agreed by the parties, updates will not retroactively alter the terms of an existing sales contract.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain effective to the extent permitted by applicable law.

These Terms should be read together with the relevant quotation, order confirmation, sales contract, and applicable MACXI policies.
