Payment Terms
Last Updated: October 20, 2026
1. General Provisions
These Payment Terms (“Terms”) govern payment arrangements between Suzhou Macxi Fluid Technology Co., Ltd. (“MACXI,” the “Seller,” “we,” “us,” or “our”) and the customer purchasing products or services (“Buyer”).
These Terms apply to orders for industrial pumps and related products supplied by MACXI, including magnetic gear pumps, precision plunger pumps, pump head and motor assemblies, and customized fluid handling solutions.
The payment conditions for each transaction will be specified in the applicable quotation, pro forma invoice, order confirmation, or written sales contract.
If a separate written agreement contains specific payment terms, those terms will prevail for the relevant transaction to the extent of any inconsistency, subject to applicable law.
Nothing in these Terms excludes or restricts rights or remedies that cannot lawfully be excluded or restricted.
2. Payment Currency
Payments must be made in the currency specified in the applicable quotation, invoice, or sales contract.
Depending on the transaction, accepted currencies may include:
- USD (United States Dollars).
- EUR (Euros).
- Other currencies expressly agreed upon by the parties.
The Buyer is responsible for ensuring that the correct amount is remitted in the agreed currency. Any currency conversion, exchange rate differences, or conversion fees charged by the Buyer's bank or payment provider are the Buyer's responsibility unless otherwise agreed in writing.
3. Payment Methods
Available payment methods may include:
- Bank transfer or telegraphic transfer (T/T).
- International bank transfers.
- Other payment methods expressly agreed upon by MACXI and the Buyer.
The accepted payment method and the relevant beneficiary bank details will be provided in the applicable invoice or official payment instructions.
For security reasons, the Buyer should verify any changes to payment instructions directly with MACXI through a previously established or independently verified contact channel before transferring funds.
MACXI will not be responsible for payments sent to an incorrect or unauthorized account where the error results from the Buyer's failure to verify payment instructions, subject to applicable law and the circumstances of the transaction.
4. Standard Payment Terms
Unless otherwise agreed in writing, 100% advance payment is required for all orders before production or order fulfillment begins.
This standard payment condition applies to:
- Standard products.
- Customized or made-to-order products.
- Pump head and motor assemblies.
- Other products or systems supplied by MACXI.
Any alternative arrangement, such as a deposit with a balance payment before shipment, must be expressly confirmed in writing by MACXI.
The payment conditions stated in the applicable quotation, invoice, or sales contract will govern the relevant order.
5. Conditions for Starting Production
For made-to-order products, production will generally begin only after all of the following conditions have been satisfied:
- MACXI has accepted and confirmed the order.
- The relevant technical specifications and product configuration have been agreed upon.
- The agreed 100% advance payment has been received in MACXI's designated bank account, unless different payment terms have been confirmed in writing.
Until the required payment has been received, MACXI is generally not obligated to:
- Start manufacturing or customized production.
- Reserve production capacity or components for the order.
- Guarantee the originally estimated production or delivery schedule.
Production schedules may need to be adjusted if payment is delayed, technical specifications remain unconfirmed, or other agreed prerequisites have not been met.
The applicable production and delivery schedule will be determined according to the confirmed order arrangements.
6. Buyer's Responsibilities
By placing an order, the Buyer is responsible for:
- Reviewing and confirming the quotation, invoice, product configuration, and applicable payment terms.
- Ensuring that the technical specifications and order details are accurate.
- Making payment in the agreed amount, currency, and timeframe.
- Providing reasonable proof of payment when requested.
- Ensuring that the payment originates from a lawful source and complies with applicable banking, sanctions, anti-money laundering, and other legal requirements.
- Paying any bank charges allocated to the Buyer under these Terms or the sales agreement.
For customized products, the Buyer should carefully review and approve the relevant specifications before production begins.
7. Late or Missing Payments
If the required payment is not received by the agreed deadline:
- The order may remain unconfirmed or pending fulfillment.
- Production may be postponed.
- The estimated delivery schedule may be adjusted.
- MACXI may request updated payment confirmation or clarification from the Buyer.
If payment remains outstanding after any applicable notice or cure period specified in the sales agreement, MACXI may suspend or cancel the affected order to the extent permitted by the agreement and applicable law.
Any resulting cancellation charges, reimbursement of costs, or refund obligations will be determined under the applicable sales agreement and law.
8. Bank Charges and Transfer Fees
Unless otherwise agreed in writing, the Buyer is responsible for bank charges and transfer fees associated with sending payment to MACXI.
These charges may include:
- Fees charged by the Buyer's bank.
- International wire transfer fees.
- Intermediary or correspondent bank charges.
- Currency conversion fees.
- Other transfer-related charges deducted before the funds reach MACXI.
The Buyer should instruct the bank to transfer the amount necessary for MACXI to receive the full invoiced amount, subject to the agreed banking arrangements.
If intermediary bank charges reduce the amount received, the parties may coordinate to determine whether an additional payment is required under the applicable invoice or sales agreement.
9. Order Cancellation and Refunds
The Buyer should contact MACXI as soon as possible if it wishes to cancel or modify an order.
Cancellation requests must be reviewed and confirmed in writing by MACXI, subject to the applicable sales agreement and mandatory legal requirements.
For customized or made-to-order products, cancellation may be restricted once materials have been procured, production preparation has begun, or manufacturing is underway.
Where cancellation is permitted, any amount retained by MACXI will be determined in accordance with the applicable sales agreement, actual costs reasonably incurred, and applicable law. Such costs may include, where applicable:
- Materials purchased specifically for the order.
- Manufacturing and processing costs already incurred.
- Production preparation and setup costs.
- Custom components or outsourced work that cannot reasonably be canceled or recovered.
- Other documented, reasonable costs attributable to the order, where recoverable under the agreement and applicable law.
Any remaining refundable balance will be calculated after taking into account the amounts properly payable under the applicable agreement and law.
MACXI will not automatically retain the entire payment merely because production has started. Any deduction or refusal of a refund must be consistent with the applicable sales agreement and mandatory legal requirements.
Refund requests relating to defective or non-conforming products, or other circumstances giving rise to mandatory legal remedies, will be handled in accordance with the applicable warranty, return, and refund arrangements and applicable law.
If a refund is approved, MACXI will generally process it using the original payment method where practicable and legally permitted. The processing time and any applicable conditions will be communicated to the Buyer.
10. Payment Confirmation
After initiating payment, the Buyer should provide a payment receipt, bank transfer confirmation, or other reasonable proof of payment when requested.
A payment instruction or transfer receipt does not necessarily establish that funds have been received.
Unless otherwise agreed in writing, payment is considered received when the full required amount has been credited to MACXI's designated bank account and is available for use.
MACXI may confirm receipt of payment before commencing production or arranging shipment.
11. Additional Conditions
MACXI may agree to specific payment arrangements for individual projects, subject to written confirmation by the parties.
Such arrangements may address:
- Alternative payment schedules.
- Deposit and balance payment requirements.
- Project-specific production milestones.
- Payment deadlines and shipment conditions.
- Other commercial arrangements relevant to the transaction.
The final payment conditions will be specified in the applicable quotation, pro forma invoice, order confirmation, or written sales contract.
If these Terms conflict with specific payment provisions in a confirmed written sales agreement, the agreed transaction-specific provisions will prevail to the extent of the inconsistency, subject to mandatory law.
MACXI may update these Terms from time to time. The latest version will be published on the website. Unless otherwise required by law or agreed by the parties, updates will not retroactively alter the payment terms of an existing sales contract.
